11 Terms You’ll See in Your Wedding Venue Contract and Their Meanings

Your wedding venue is an important part of your wedding. So, when you finally decide on a venue to go with, it is important to know exactly what you are signing up for in the contract. As experienced wedding planners, we at Dazzle (Events) by Andrea have decided to give you a summary of some of the terms you’ll see and what they mean.

  • Admin Fee

This is the fee that goes towards the payment of the person or people organizing the event. It is not the tip.

  • Damaged Goods

This is the sum of money that you pay on a rented item to ensure that you return it in good condition. If the item is damaged broken or missing, you won’t get this money back.

  • Failure to Perform

This explains what will happen if a vendor fails to do the job that you hired them to do.

  • Force Majeure

This also known as an “act of God” and stands for an event for which no party can be held responsible. Like a catastrophe that prevents the fulfillment of the contract.

  • Governing Laws

This is the clause that allows a particular state’s laws to be applied should there be a legal dispute. It is usually the state of the vendor.

  • Harassment Clause

This is the clause that states that harassment will not be tolerated by the clients or their guests. Being nice is an absolute must.

  • Hold Harmless and Indemnification

This part of the contract protects one party in the case that the other gets injured, suffers losses or claims damages. It can be unilateral (protects only the vendor) or reciprocal (protects both the vendor and the client).

Indemnification, on the other hand, is a provision under which a party commits to compensate the other for any harm arising out of the contract.

  • Initial Deposit

This is the money that you pay to secure the venue for your wedding date. It is often non-refundable.

  • Scope of Services

This is where the vendor lists what they are promising to provide for you.

  • Termination Clause

This is the part of the contract that spells out what happens if the client no longer wants to work with the vendor and vice versa.
